WEBSITE & MEMBERSHIP TERMS AND CONDITIONS

Welcome to Wellness Syndicate.

These Terms and Conditions (“Terms”) govern your access to and use of the Wellness Syndicate website, online platform, membership services, private Member areas, products, benefits, events and related services.

By accessing this website, creating an account, applying for Membership, purchasing or obtaining a product or service, or selecting “I Agree”, you confirm that you have read, understood and agreed to these Terms.

If you do not agree to these Terms, you should not register as a Member or use Member-only services.

1. ABOUT WELLNESS SYNDICATE

Wellness Syndicate operates as a private membership-based wellness community.

The Syndicate provides Members with access to selected wellness information, products, services, experiences, events, benefits and other Member opportunities.

Certain areas and services offered through the website may be available only to registered Members.

Nothing in these Terms is intended to permit Wellness Syndicate or any Member to engage in conduct prohibited by South African law.

2. ELIGIBILITY AND AGE REQUIREMENT

You must be 18 years of age or older to register as a Member of Wellness Syndicate.

By registering, you confirm that:

you are at least 18 years old;
the information supplied by you is accurate and complete;
you are legally capable of entering into this agreement;
you are applying voluntarily for Membership; and
you agree to comply with these Terms and the applicable Membership Rules.

Wellness Syndicate may request reasonable proof of identity and age before activating or continuing a Membership.

3. PRIVATE MEMBERSHIP

Wellness Syndicate is a private membership community.

Registration on the website does not necessarily guarantee acceptance as a Member.

Wellness Syndicate reserves the right, subject to applicable law, to approve, decline, suspend or terminate Membership where reasonably necessary for the operation, security, integrity or lawful administration of the Syndicate.

Membership is personal to the registered Member and may not be transferred, sold, assigned or shared with another person.

4. DIGITAL MEMBERSHIP

The Wellness Syndicate website and Member portal may constitute part of the Syndicate’s private digital Member environment.

Certain content, products, benefits, events, communications and services may therefore only be accessible after:

registration;
acceptance as a Member;
age and/or identity verification where required;
acceptance of these Terms; and
payment of any applicable Membership fee.

Your electronic acceptance of these Terms has the same effect as accepting the applicable Membership terms during registration.

5. MEMBERSHIP ACCOUNTS

Members may be required to create an online account.

You are responsible for:

maintaining the confidentiality of your username and password;
ensuring that your account information remains accurate;
preventing unauthorised access to your account; and
notifying Wellness Syndicate promptly if you become aware of suspected unauthorised access.

You may not knowingly permit another person to use your Membership account.

Wellness Syndicate may temporarily suspend an account where it reasonably suspects fraud, unauthorised access, misuse or a security breach.

6. MEMBERSHIP TIERS

Wellness Syndicate may offer different Membership tiers or packages.

Membership benefits may differ depending upon the Membership tier selected.

Benefits may include, where applicable:

Member-only pricing or discounts;
access to selected products or services;
educational wellness content;
invitations to private events;
Member promotions;
loyalty rewards;
gifts or samples;
newsletters and Member communications;
product-development opportunities; and
other benefits announced by Wellness Syndicate from time to time.

The benefits associated with each Membership tier will be displayed on the website or communicated to the Member.

Benefits may change from time to time, subject to applicable consumer law and any existing contractual commitments.

7. MEMBERSHIP FEES AND PAYMENTS

Where Membership fees apply, the applicable price, billing period and benefits will be displayed before you complete your registration or purchase.

By selecting a paid Membership, you authorise Wellness Syndicate and its authorised payment provider to process the applicable payment.

Where Membership operates on a recurring subscription basis, this will be clearly disclosed before payment.

You remain responsible for charges validly incurred through your account, subject to your rights under applicable law and the terms governing unauthorised transactions.

8. RENEWALS AND CANCELLATIONS

The applicable Membership period will be displayed when you register.

Where Membership automatically renews, the renewal terms and recurring charges will be disclosed before you subscribe.

Members may request cancellation through the cancellation method made available on the website or by contacting Wellness Syndicate.

Cancellation, refunds and continued access following cancellation will be handled in accordance with:

the Membership package selected;
these Terms;
the cancellation information presented at purchase; and
applicable South African consumer law.

9. PRODUCTS AND SERVICES

Wellness Syndicate may make selected wellness-related products and services available to Members.

Product descriptions, availability, prices and other information may change from time to time.

We endeavour to ensure that website information is accurate. However, Wellness Syndicate does not warrant that every description, image, price or other piece of information will always be completely free from error.

Where an obvious pricing or listing error occurs, Wellness Syndicate may correct the error subject to applicable law.

10. MEMBER BENEFITS, GIFTS AND REWARDS

Members may become eligible for benefits, gifts, discounts, rewards, promotional items or experiences according to their Membership tier.

Unless expressly stated otherwise:

benefits have no cash value;
benefits may not be transferred;
eligibility requirements may apply;
availability may be limited; and
promotions may be subject to separate terms.

Wellness Syndicate may operate loyalty or rewards programmes and may establish additional rules governing those programmes.

11. EVENTS

Wellness Syndicate may organise private events, wellness experiences, educational sessions, workshops or other Member activities.

Individual events may have additional rules, eligibility requirements, booking requirements or participation terms.

Members attending an event must behave responsibly and respect:

other Members;
staff;
venues;
neighbouring communities;
property;
the environment; and
applicable law.

Violent, threatening, discriminatory, abusive, harassing or seriously disruptive behaviour will not be tolerated.

Wellness Syndicate may remove a Member from an event or private Member environment where reasonably necessary to protect Members, staff, property or the integrity of the event.

12. RESPONSIBLE USE

Members are responsible for their own decisions regarding products, services and wellness activities accessed through Wellness Syndicate.

Products must only be used:

for their intended purpose;
responsibly;
in accordance with applicable instructions; and
in accordance with South African law.

Members must not use Wellness Syndicate, their Membership account or any Syndicate facility to facilitate unlawful activity.

13. WELLNESS AND HEALTH INFORMATION

Information available through Wellness Syndicate may relate to wellness, lifestyle, nutrition, relaxation, plant-based wellness, products and other health-related subjects.

Unless expressly stated otherwise, this information is provided for general informational and educational purposes only.

It does not constitute medical diagnosis, treatment, prescription or personalised medical advice.

You should obtain appropriate professional advice before making decisions concerning a medical condition, medication or treatment.

14. PRODUCT TESTING AND MEMBER FEEDBACK

From time to time, Wellness Syndicate may invite selected Members to participate voluntarily in:

product testing;
surveys;
research;
feedback programmes;
trials of new Member experiences; or
product-development initiatives.

Participation is voluntary.

Additional eligibility requirements, disclosures, consent forms or terms may apply depending upon the nature of the programme.

15. PRIVACY AND PERSONAL INFORMATION

Wellness Syndicate respects the privacy of its Members.

Personal information will be processed in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and our Privacy Policy.

Information may be processed for legitimate purposes associated with:

creating and administering your account;
verifying Membership and age;
processing transactions;
providing Member services;
communicating with you;
administering benefits;
preventing fraud and misuse;
maintaining security;
fulfilling legal obligations; and
operating Wellness Syndicate.

Where separate consent is legally required for a particular type of processing or marketing communication, Wellness Syndicate will request that consent separately.

16. MEMBER PRIVACY AND CONFIDENTIALITY

Members must respect the privacy of other Members.

You may not, without appropriate permission:

publish another Member’s personal information;
distribute Member contact details;
record private conversations;
photograph or record another Member where doing so would unlawfully interfere with their privacy;
disclose confidential Member communications; or
use information obtained through Membership to harass, solicit or unlawfully target another Member.

Member directories, private communications and Member-only areas must not be scraped, copied or used to create marketing databases.

17. ELECTRONIC COMMUNICATIONS

By registering with Wellness Syndicate, you agree that communications relating to your Membership may be delivered electronically.

These may include:

account notifications;
transaction confirmations;
Membership notices;
security notifications;
changes to services;
operational communications; and
legally required notices.

Marketing communications will be handled in accordance with applicable law and your communication preferences.

18. INTELLECTUAL PROPERTY

Unless otherwise indicated, the website and its contents—including the Wellness Syndicate name, branding, graphics, photographs, text, videos, software, designs and other materials—belong to Wellness Syndicate or are used under appropriate licence.

Membership does not transfer ownership of any intellectual property to a Member.

You may not reproduce, commercially exploit, distribute or republish protected content without appropriate permission.

19. ACCEPTABLE WEBSITE USE

You may not:

attempt to gain unauthorised access to the website;
interfere with website security;
introduce malicious software;
impersonate another person;
create fraudulent accounts;
scrape restricted Member information;
misuse another Member’s account;
use the website for unlawful purposes; or
interfere with the proper operation of Wellness Syndicate’s services.

20. SUSPENSION OR TERMINATION

Wellness Syndicate may suspend, restrict or terminate an account or Membership where reasonably necessary, including where a Member:

materially breaches these Terms;
engages in fraud or unlawful conduct;
abuses Membership privileges;
threatens or harasses another Member or staff member;
compromises Member privacy;
compromises website or account security;
provides materially false registration information; or
repeatedly breaches applicable Membership Rules.

Where required by applicable law, appropriate notice and procedures will be followed.

Termination does not affect obligations or rights that arose before termination.

21. LIABILITY

To the maximum extent permitted by applicable law, Wellness Syndicate shall not be responsible for loss arising solely from a Member’s unlawful, reckless or unauthorised use of products, services or Membership privileges.

Members remain responsible for their own conduct.

Nothing in these Terms is intended to exclude or restrict any liability or consumer right that cannot lawfully be excluded or restricted under South African law.

22. THIRD-PARTY SERVICES

The website may contain or provide access to services operated by third parties, including payment processors, delivery providers, event providers or wellness professionals.

Where you use a third-party service, additional terms may apply.

Wellness Syndicate is not responsible for the independent acts or omissions of third parties except to the extent responsibility cannot lawfully be excluded.

23. CHANGES TO THESE TERMS

Wellness Syndicate may update these Terms where reasonably necessary because of:

changes to our services;
operational requirements;
security requirements;
changes in Membership benefits; or
changes in applicable law.

Material changes will be communicated where required.

The date at the beginning of these Terms identifies the latest version.

24. GOVERNING LAW

These Terms are governed by the laws of the Republic of South Africa.

Any dispute arising from these Terms shall be dealt with in accordance with applicable South African law and the jurisdiction of the appropriate South African courts, subject to any mandatory consumer dispute-resolution rights.

25. GENERAL

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions shall continue to operate to the extent permitted by law.

A failure by Wellness Syndicate to enforce a provision immediately does not automatically constitute a waiver of that provision.
